1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

• "Agreement" means these Terms and Conditions together with any service engagement letter or written confirmation provided by Krung Shield.
• "We / Us / Our" refers to Krung Shield, a legal services practice registered in Bangkok, Thailand.
• "User / You / Your" refers to any individual or entity accessing our website or engaging our services.
• "Services" refers to the document preparation, intellectual property registration, and legal strategy consultation services offered by Krung Shield.
• "Content" refers to all text, documentation, and materials available on our website or provided in connection with our Services.

2. Acceptance of Terms

By accessing our website or engaging our Services, you agree to be bound by these Terms and Conditions. If you do not agree, you should not use our website or engage our Services. You must be at least 18 years of age and have legal capacity to enter into a binding agreement. If you are acting on behalf of a company or organization, you represent that you have authority to bind that entity to these terms.

3. Description of Services

Krung Shield offers three categories of service:

• Document Preparation: Drafting, formatting, and finalizing legal documents to Thai regulatory standards, with a standard delivery of five to seven business days.
• Intellectual Property Registration: Guidance and administrative support for trademark, copyright, and patent registration with the Department of Intellectual Property in Thailand.
• Legal Strategy Consultation: Advisory sessions for businesses on regulatory strategy, dispute avoidance, contractual risk, and compliance, delivered across a three-month engagement.

Services are available to clients based in Thailand and abroad. All services are delivered in the English language. Geographic restrictions may apply in individual cases and will be communicated at the outset of any engagement.

4. Engagement and Service Delivery

An engagement begins when Krung Shield provides a written confirmation of scope and you indicate acceptance. Prior to formal engagement:

• Initial discussions and enquiries do not constitute a service engagement.
• No legal relationship or advisory obligation arises from initial contact.
• Krung Shield reserves the right to decline any engagement at its discretion.

Timelines stated for service delivery are estimates and may vary based on complexity, completeness of information provided by the client, and the actions of third parties such as government bodies.

5. User Responsibilities

You agree to:

• Provide accurate, complete, and timely information as required for the delivery of services.
• Notify Krung Shield promptly of any changes to information provided.
• Use our website only for lawful purposes and in a manner that does not infringe the rights of others.
• Not attempt to gain unauthorized access to any part of our website or systems.
• Not misrepresent your identity or authority when engaging our services.

6. Intellectual Property

All content on the Krung Shield website — including text, design, and structural elements — is owned by or licensed to Krung Shield and is protected by applicable intellectual property law. You may view and print content for personal, non-commercial use only. You may not reproduce, republish, or distribute content without prior written consent.

Documents prepared by Krung Shield on your behalf remain your property once delivered and paid for. Krung Shield retains the right to maintain a copy for record-keeping purposes in accordance with our data retention policy.

7. Payment Terms

• Service fees are stated in Thai Baht (THB) and are quoted prior to engagement.
• Payment terms will be specified in the engagement confirmation for each service.
• Government filing fees and other third-party charges are not included in service fees and will be communicated separately before any action is taken.
• Invoices are payable within the period specified in the engagement confirmation.
• We accept bank transfer. Payment details will be provided in the invoice.

Refunds: If an engagement has not yet commenced, fees paid may be refunded upon written request. Once work has begun, fees are not refundable except in cases where Krung Shield is unable to complete the service due to circumstances within our control. 8. Disclaimers

Our services are provided with professional care but on the following understanding:

• The outcome of government applications (such as IP registration) depends on the decisions of third-party bodies and cannot be assured by Krung Shield.
• Legal strategy advice reflects the state of Thai law at the time it is given. Subsequent changes in law may affect the relevance of advice provided.
• Our website is provided for informational purposes. Content on the site does not constitute legal advice and does not create an advisor-client relationship.

9. Limitation of Liability

To the extent permitted by Thai law, Krung Shield's liability in connection with any service engagement shall not exceed the fees paid by the client for the specific service giving rise to the claim. We shall not be liable for indirect, consequential, or incidental losses, including loss of profit, data, or business opportunity, arising from our services or from use of our website.

10. Indemnification

You agree to indemnify Krung Shield against any claims, losses, or expenses arising from your breach of these Terms, your misuse of our website or services, or inaccurate information you provide to us in connection with a service engagement.

11. Termination

Either party may terminate a service engagement by giving written notice. If you terminate after work has commenced, fees for work completed to the date of termination remain payable. Krung Shield may terminate an engagement if you breach these Terms or if circumstances arise that prevent delivery of the service. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Kingdom of Thailand. The courts of Bangkok shall have jurisdiction over any dispute arising from or in connection with these Terms or any service engagement. Before initiating formal proceedings, the parties agree to attempt resolution through good-faith discussion for a period of thirty days.

13. General Provisions

• Entire Agreement: These Terms, together with any engagement confirmation, constitute the full agreement between the parties with respect to the subject matter.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.

14. Changes to These Terms

We may update these Terms from time to time. Revised terms will be posted on this page with an updated effective date. Continued use of our website or services following publication of changes constitutes acceptance of the revised Terms.
